1. Acceptance of Terms

By purchasing, downloading, or using Remotto software (“the Software”), you (“the Customer”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not purchase or use the Software.

By completing the checkout process, you confirm that you have read, understood, and agree to these Terms, including the Digital Goods & Refund Policy described in Section 4.

2. Definitions

  • “Software” — Remotto, a remote PC management solution developed by Kionas Inc.
  • “License Key” — A unique digital key issued upon purchase that activates the Software for the purchased plan.
  • “Organization” — The entity identified in the License Key for which the Software is licensed.
  • “Device Limit” — The maximum number of managed devices permitted under the purchased plan.

3. License Grant

Upon successful payment and issuance of a License Key, Kionas Inc. grants you a non-exclusive, non-transferable, limited license to use the Software in accordance with the purchased plan. Each license is a one-time monthly purchase (not a subscription) that is valid for the calendar month of issuance. There is no automatic renewal or recurring charge.

  • Light Plan — Up to 50 managed devices. ¥5,000/month (tax excluded).
  • Business Plan — Unlimited managed devices. ¥15,000/month (tax excluded).

All paid plans include the full feature set (screen monitoring, remote control, web restrictions, print management, activity logs, scheduled tasks, LDAP/AD integration). The only difference between plans is the device limit.

Upon license expiration, the Software will revert to Trial mode (up to 5 devices, basic features only). No re-installation is required — simply import a new License Key to reactivate.

4. Digital Goods & Refund Policy

⚠️ NO REFUNDS — PLEASE READ CAREFULLY Since our products are digital software licenses that are issued immediately upon purchase, strictly NO REFUNDS will be granted once the license key has been sent.

4.1 Nature of Digital Goods

The Software License Key is a digital product that is automatically generated and delivered via email immediately after successful payment. Once the License Key has been sent, the digital content has been fully delivered, and the transaction is considered complete.

4.2 Waiver of Right of Withdrawal (EU/UK/EEA Customers)

📋 EU Consumer Rights Notice By purchasing, you expressly acknowledge that you waive any right to a cooling-off period (Right of Withdrawal) under EU/UK consumer laws, including but not limited to the EU Consumer Rights Directive 2011/83/EU, Article 16(m), as the digital content is supplied immediately upon purchase and you have given your prior express consent.

In accordance with applicable EU/UK regulations, you acknowledge and agree that:

  1. The performance of the contract begins immediately upon purchase.
  2. You expressly consent to the immediate delivery of the digital content (License Key).
  3. You acknowledge that you thereby lose your right of withdrawal.

4.3 Pre-Purchase Evaluation

We strongly recommend evaluating the Software before purchasing:

  • Free Trial — Remotto offers a perpetual free trial for up to 5 devices with basic features.
  • Documentation — Comprehensive documentation is available on our website.
  • Support — Contact us at remotto-support@kionas.co.jp for any pre-purchase questions.

4.4 Exceptions

Refunds may be considered only in the following exceptional circumstances, at Kionas Inc.’s sole discretion:

  • Duplicate charges resulting from a technical payment processing error.
  • The License Key was not delivered due to a system failure (and cannot be re-sent).

In such cases, please contact remotto-support@kionas.co.jp within 7 days of purchase.

4.5 Australian Consumer Law Notice

🇦🇺 Notice for Australian Customers Under the Australian Consumer Law (ACL), consumers may have rights to a remedy (repair, replacement, or refund) if goods or services fail to meet a consumer guarantee. Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the ACL that cannot be excluded, restricted, or modified by agreement. If you believe the Software has a major failure, please contact us at remotto-support@kionas.co.jp.

5. Payment

All payments are processed securely by Stripe. Kionas Inc. does not store or process credit card information directly.

  • Prices are listed in Japanese Yen (JPY), tax excluded. Applicable consumption tax (10%) will be added at checkout.
  • Payment is required in full before the License Key is issued.
  • By completing payment, you confirm your consent to these Terms and the immediate delivery of digital goods.

6. Restrictions

You may not:

  • Share, redistribute, or resell the License Key.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software for any unlawful purpose.
  • Transfer or sublicense the License Key to another organization without written consent from Kionas Inc.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL KIONAS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Kionas Inc.’s total liability shall not exceed the amount paid by the Customer for the License Key in question.

9. Termination

Kionas Inc. reserves the right to terminate your license if you violate these Terms. Upon termination:

  • Your License Key will be invalidated.
  • No refund will be provided for the remaining license period.
  • You must cease all use of the Software.

10. Privacy & Data Processing

Kionas Inc. collects and processes personal data in accordance with our Privacy Policy. This section provides additional information required under the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.

10.1 Data Controller

The data controller is Kionas Inc., located in Sapporo, Japan. For data protection inquiries, contact: remotto-support@kionas.co.jp

10.2 Data Collected & Legal Basis

We collect the following personal data during the purchase process:

  • Name and Email address — For license generation and delivery. Legal basis: Performance of a contract (GDPR Art. 6(1)(b)).
  • Organization name — Embedded in the License Key. Legal basis: Performance of a contract.
  • Payment information — Processed by Stripe (see Stripe Privacy Policy). Kionas Inc. does not store or access card details. Legal basis: Performance of a contract.
  • IP address and browser information — Collected automatically for security and fraud prevention. Legal basis: Legitimate interest (GDPR Art. 6(1)(f)).

10.3 Data Retention

Purchase records and license issuance logs are retained for the duration of the license validity period plus an additional 3 years to comply with tax and accounting obligations under Japanese law. After this period, personal data is deleted or anonymized.

10.4 International Data Transfers

📋 Cross-Border Data Transfer Notice Your personal data may be transferred to and processed in Japan, where Kionas Inc. is located. Japan has been granted an adequacy decision by the European Commission (Commission Implementing Decision (EU) 2019/419), confirming an adequate level of data protection. Payment data is processed by Stripe, Inc. in accordance with their data processing agreements and EU Standard Contractual Clauses (SCCs) where applicable.

10.5 Your Rights (EEA/UK Residents)

Under the GDPR, you have the following rights regarding your personal data:

  • Right of Access — Request a copy of your personal data.
  • Right to Rectification — Request correction of inaccurate data.
  • Right to Erasure — Request deletion of your data (subject to legal retention requirements).
  • Right to Data Portability — Receive your data in a structured, machine-readable format.
  • Right to Object — Object to processing based on legitimate interest.
  • Right to Lodge a Complaint — File a complaint with your local Data Protection Authority.

To exercise any of these rights, please contact remotto-support@kionas.co.jp. We will respond within 30 days.

10.6 Software Data Processing

The Software itself operates entirely on your own infrastructure (self-hosted). No screen data, device data, or user activity data from managed devices is transmitted to Kionas Inc. at any time. You are the sole data controller for any data processed by the Software within your organization.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Sapporo District Court.

Nothing in these Terms affects your statutory rights as a consumer under the mandatory consumer protection laws of your country of residence that cannot be waived or limited by contract.
